COMSEE Terms of Service

Article 1 (Scope)

These Terms apply to all relationships between us and users concerning the Service. If we and a user conclude an individual agreement for the Service (including application forms, quotations and purchase orders; an "Individual Agreement"), the Individual Agreement prevails over these Terms.

Article 2 (Definitions)

• "User": a corporation or sole proprietor whose use of the Service we have approved (a "Customer"), and officers, employees and others the Customer invites to the Service.
• "User Data": data users enter into the Service, and data the Service receives from external services based on the user's authorization.
• "External Services": third-party services the Service connects with, such as TikTok Shop, TikTok for Business, Google and LINE.
• "AI Output": forecasts, suggestions, drafts, summaries and other information the Service produces by artificial intelligence or other automated processing.

Article 3 (Application and start of use)

Anyone who wishes to use the Service applies in the manner we specify. If we approve the application after review, we notify the applicant, who may start using the Service from that point. We are not obliged to disclose the result of the review or its reasons.

We may set a free trial period after approval. The length of the trial and the transition to a contract afterwards follow the conditions we present or the Individual Agreement.

Article 4 (Account management)

Users manage the email address, password and external accounts they use to sign in at their own responsibility and must not let third parties use them. The Customer is responsible for the roles (admin, operator, view-only) it gives to those it invites, and for their use of the Service.

If a user notices unauthorized use of an account, the user must contact us immediately.

Article 5 (Fees and payment)

The fees, payment method and due dates follow the conditions we present at the time of application or the Individual Agreement. Fees paid are not refunded, except as required by law or where the cause is attributable to us.

Article 6 (Connection with External Services)

Users themselves authorize, on the External Service, the Service to read data from or send operations to the External Service. Users may revoke the authorization at any time on the External Service; disconnection on the Service side can also be requested from us.

Users comply with the terms and policies of External Services. Features of the Service may become unavailable due to changes, suspension or restrictions of External Services, and we are not liable for resulting damages except in cases of our intent or gross negligence.

Operations of the Service that change External Services (such as listings, prices, inventory or ad settings) are executed only after approval by the user or a person the user has authorized.

Article 7 (User Data)

Rights to User Data belong to the user or the rightful holder. We use User Data to the extent necessary to provide and maintain the Service, investigate problems and contact users.

We may use User Data, processed into statistical information that does not identify individuals or Customers, to improve the Service and develop new features. We do not make any use prohibited by the terms of External Services.

Except as required by law, we do not disclose User Data to third parties without the user's consent. However, we may have contractors (such as cloud providers) handle it to the extent necessary to provide the Service, and we supervise them appropriately.

Personal information is handled in accordance with the COMSEE Privacy Policy.

Article 8 (AI Output)

AI Output is reference information to help users decide. We do not guarantee its accuracy, completeness or usefulness, nor results such as sales or profit based on it.

Decisions and actions based on AI Output are the user's responsibility. The Service does not change External Services or contact business partners without the user's approval.

The Service uses AI models of providers we select. We do not let those providers use User Data to train their AI models.

Article 9 (Prohibited acts)

Users must not:

• violate laws, public order and morals, or the terms of External Services;
• infringe the rights of us, other users or third parties;
• place excessive load on, or gain unauthorized access to, the Service's networks or systems;
• reverse engineer the Service or obtain large amounts of data by automated means;
• let third parties use, or resell, the Service or information obtained from it without our permission;
• register false information; or
• engage in any other act we reasonably judge inappropriate.

Article 10 (Changes and interruption)

We may change the Service or end its provision. We give notice a reasonable period in advance of changes or termination that significantly affect users.

We may temporarily interrupt all or part of the Service for maintenance, failures, suspension of External Services, natural disasters or other unavoidable reasons.

Article 11 (Suspension and termination)

If a user breaches these Terms, fails to pay fees, or we otherwise reasonably judge continued use inappropriate, we may suspend use or terminate the contract without prior notice.

A Customer may end its use of the Service by notifying us in the manner we specify. After termination, we delete User Data after a period we set. Users export any data they need before termination.

Article 12 (Disclaimer and limitation of liability)

We do not guarantee that the Service fits a user's particular purpose, is always available without interruption, or is free of defects.

If we are liable to a user for damages, our liability is limited to ordinary and direct damages, capped at the total fees the Customer paid us in the 12 months before the month in which the cause of the damage arose. This limit does not apply in cases of our intent or gross negligence.

Article 13 (Confidentiality)

We and users do not disclose or leak the other party's technical or business secrets learned in connection with the Service without consent, and do not use them outside the purpose of the Service, except when disclosure is required by law.

Article 14 (Exclusion of antisocial forces)

Users represent and warrant that they are not, and have no relationship with, organized crime groups or other antisocial forces. If this is breached, we may terminate the contract immediately.

Article 15 (Changes to these Terms)

We may change these Terms under the provisions of the Civil Code on changes to standard terms. We will announce the changed content and its effective date on the Service or our website a reasonable period before it takes effect.

Article 16 (Governing law and jurisdiction)

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes concerning the Service.
